1. Legal Entity and Acceptance of Terms
These Terms & Conditions (“Terms”) govern your access to and use of the O.P.O.S.S.U.M. Technology platform, products, and services operated by CCACC Inc DBA O.P.O.S.S.U.M. Technology (“CCACC Inc,” “O.P.O.S.S.U.M.,” “we,” “our,” or “us”). By accessing or using our Services, you agree to these Terms. If you do not agree, you may not use the Services.
2. Description of Service
O.P.O.S.S.U.M. Technology provides AI-powered virtual simulations designed to enhance communication, leadership, and staff performance. The Services may include hosted software platforms, customized training scenarios, AI-driven feedback tools, data dashboards, and managed simulation environments.
3. Proprietary Ownership and Intellectual Property
All intellectual property rights in O.P.O.S.S.U.M. Technology—including its AI algorithms, simulations, training data, visual interfaces, designs, and written materials—are the exclusive property of CCACC Inc DBA O.P.O.S.S.U.M. Technology. Users and clients are granted a limited, non-exclusive, non-transferable, and revocable license to use the Services for internal training purposes only.
4. User Responsibilities
You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for maintaining the confidentiality of your login credentials and all activity that occurs under your account.
5. Proprietary AI Data and Simulation Content
All AI outputs, simulation scripts, training environments, and analytical reports generated by O.P.O.S.S.U.M. Technology remain proprietary intellectual property of CCACC Inc. Clients may access, review, and use simulation data for internal performance development only.
6. DMCA and Intellectual Property Protection
If you believe that any material available through our Services infringes your copyright, please contact our designated DMCA Agent at legal@getopossum.com with a written notice including your name, contact information, a description of the infringing content, and proof of ownership.
7. Data Security and Privacy
We use encryption, access controls, and secure hosting to safeguard data. However, no system is completely secure. In the event of a breach, CCACC Inc will notify affected clients promptly and take reasonable steps to mitigate risk.
8. Third-Party Vendors and Subcontractors
We may engage affiliates, subcontractors, or hosting partners to provide certain aspects of the Services. CCACC Inc is not liable for interruptions caused by external providers beyond our control.
9. Client Data Ownership and Use
You retain ownership of your organizational data uploaded into O.P.O.S.S.U.M. Technology. By submitting data, you grant CCACC Inc a limited license to store, process, and use that data solely to provide and improve the Services.
10. Confidentiality
Both parties agree to maintain confidentiality of proprietary information disclosed during the engagement. This obligation survives termination of service.
11. Publicity Rights
CCACC Inc may reference your organization’s name and logo in marketing or case studies only with your prior written consent.
12. Limitation of Liability
To the fullest extent permitted by law, CCACC Inc shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the total amount paid by you to us in the twelve months preceding the claim.
13. Force Majeure
We are not responsible for failure or delay in performance due to events beyond our reasonable control, including acts of God, cyberattacks, or power outages.
14. Indemnification
You agree to indemnify and hold harmless CCACC Inc DBA O.P.O.S.S.U.M. Technology, its officers, affiliates, and subcontractors from any claims arising out of your use of the Services or violation of these Terms.
15. Arbitration and Governing Law
These Terms are governed by the laws of the State of Texas. Any dispute shall be resolved through binding arbitration in Dallas County, Texas. International clients may elect arbitration under UNCITRAL rules.
16. Modifications and Updates
We may update these Terms periodically. Continued use of the Services after such updates constitutes acceptance.
